Corporate Associate

A boutique firm in Northbrook is seeking a talented Corporate Associate Attorney with 5–7 years of experience.

Responsibilities

Draft, review, and negotiate a wide range of corporate and commercial agreements, including purchase agreements, operating agreements, shareholder agreements, confidentiality agreements, and service contracts.
Support mergers, acquisitions, and divestitures from LOI through closing, including due diligence, transaction structuring, document preparation, and closing coordination.
Advise clients on general corporate governance matters, entity formation, compliance issues, and ongoing business operations.
Conduct legal research and provide practical guidance on corporate, regulatory, and contractual issues impacting clients across various industries.
Collaborate with senior attorneys and partners on sophisticated transactions while managing components of deals independently
Maintain strong communication with clients, ensuring responsive service, clear guidance, and effective project management.

Qualifications

J.D. from an accredited law school and active bar membership in the applicable jurisdiction.
5–7 years of relevant corporate/transactional experience at a law firm or in-house legal department.
Strong drafting, negotiation, and analytical skills with exceptional attention to detail.
Proven ability to manage multiple projects simultaneously and work effectively in a team-oriented environment.
Demonstrated client-service mindset, professionalism, and ability to communicate complex issues clearly.
